Route Consultant Referral Rewards Program
Terms & Conditions
Effective Date: April 13, 2026
Route Consultant, Inc. (“Route Consultant,” “we,” “us,” or “our”) offers a referral bonus program (the “Program”) to reward qualified referrals of potential business sellers. By submitting a referral, you agree to the following Terms and Conditions (the “Terms”):
1. Eligibility
The Program is open to individuals and entities approved by Route Consultant. Employees of Route Consultant and its affiliates may be excluded or subject to separate internal policies. Participation in the Program does not create any employment, agency, partnership, or brokerage relationship.
2. Submission of Referrals
Referrals must be submitted through Route Consultant’s referral portal at or before the time the referred party is introduced to or first engages with Route Consultant. Referrals not submitted through the portal or submitted after such introduction may be deemed ineligible. Route Consultant’s records control for timing and eligibility.
3. Qualified Referrals
A referral qualifies only if, as determined by Route Consultant in its sole discretion:
It is submitted through the referral portal;
The referred party is a new contact not actively engaged with Route Consultant on a listing;
It includes sufficient and accurate contact information; and
Route Consultant accepts the referral.
Route Consultant may reject any referral for any reason.
4. Timing and Activity Requirements
A referral remains eligible only if the referred party engages with Route Consultant and enters into a listing agreement within twelve (12) months of submission. Route Consultant may determine eligibility at any time.
5. Referral Bonuses
Subject to these Terms:
Listing Bonus ($500): Payable if a listing agreement is executed and the lsiting is formally launched, as determined by Route Consultant.
Closing Bonus ($4,500): Payable only if the transaction closes and Route Consultant actually receives its commission.
All bonuses are earned only if and when the applicable conditions are satisfied.
6. Payment Terms
Payments will be made within a reasonable time after eligibility is confirmed. Referrers must provide required tax documentation. Payments may be reported for tax purposes (including Form 1099). Route Consultant may withhold payment if these Terms are not satisfied.
7. Duplicate Referrals
If multiple parties submit the same or similar referral, Route Consultant will determine, in its sole discretion, whether any referral qualifies and who, if anyone, receives a bonus. A first-in-time rule may be applied but is not required. Only one referral bonus will be paid per referred party.
8. Setoff; Affiliate Obligations
Route Consultant may withhold, reduce, or offset any bonus against any amounts owed by the referrer to Route Consultant or its affiliates. No bonus will be paid if the referrer is in default or has outstanding obligations to Route Consultant or its affiliates at the time payment would otherwise be due. For purposes of these Terms, “affiliates” includes, without limitation, entities under common ownership or control with Route Consultant.
9. Limitations and Exclusions
No self-referrals are permitted. No bonus is owed if the referred party does not proceed, terminates, or fails to close a transaction for any reason. Referral bonuses are not commissions and do not entitle you to participate in any transaction. The Program is intended solely as a marketing and referral initiative.
10. No Obligation to Pursue Referrals
Route Consultant has no obligation to contact, pursue, or enter into any transaction with any referred party.
11. Program Discretion
Route Consultant reserves the right, in its sole discretion, to:
Approve or reject any referral;
Determine eligibility for any bonus;
Interpret and apply these Terms;
Withhold or deny payment where the Terms are not satisfied.
All decisions by Route Consultant are final.
12. Modifications and Termination
Route Consultant may modify, suspend, or terminate the Program at any time, with or without notice. Referrals submitted prior to any modification will be evaluated under the Terms in effect at the time of submission, unless otherwise determined by Route Consultant.
13. Governing Law
These Terms and the Program shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.
14. General
This Program is void where prohibited by law. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
